A one- or two-person corporation is exempt only if its officers own all the stock and hold all the offices and there are no other workers. If it misses the deadline, its authority to do business is suspended until it complies. The newspapers set their own charges, which vary by county. The online database shows entity status only; a name is confirmed available only by a written request to the Division of Corporations ($5 per name). LLCs ($25) and corporations ($25 plus $25 per county outside New York City, or $100 per New York City county) file a Certificate of Assumed Name with the Department of State; sole proprietors and general partnerships file with the county clerk. Optional expedited handling costs $25 (24 hours), $75 (same day) or $150 (2 hours) per document.
